Terms of Service

These terms govern your access to and use of the BitHz platform, including the website, the applications and the trading, wallet and support services offered through them.

This document is published ahead of the final legal sign-off. Text in square brackets marks BitHz entity details that are filled in by BitHz before the document is certified.

This document is published in English and in translation. If a translation differs from the English text, the English text prevails.

1. Agreement to these terms

By opening an account, using the BitHz platform or placing an order, you agree to these Terms of Service, the Privacy Policy, the AML and CFT Policy and the fee schedule published on the Fees page. Together they form the agreement between you and BitHz.

If you do not accept any part of these terms, do not use the platform. If you use the platform for a company or another legal entity, you confirm that you are authorised to bind that entity to these terms.

2. Who we are

The platform is operated by [BitHz legal entity name], registered in [jurisdiction] under registration number [registration number], with its registered office at [registered address].

BitHz is a virtual asset trading platform. Orders placed on BitHz are routed to and executed on the WEEX venue, which acts as the liquidity provider and the execution counterparty for trades made on BitHz. BitHz operates the front end, the account and the client support layer. Market data, order data and wallet balances shown on the platform are provided by WEEX through the BitHz platform interface.

3. Who may use the platform

You may use the platform only if you are at least 18 years old, you act on your own behalf and not for a third party, and your use of the platform is lawful in the country where you live and where you place the order.

We may refuse, restrict or end access from any country or region where we are not permitted to offer the services, or where sanctions, regulatory or legal limits apply. You must not use the platform if you are subject to sanctions or if you are acting for a person who is.

4. Your account

You may hold one account. You must give accurate, current and complete information and keep it up to date. Accounts registered with false details, or opened to hold assets for someone else, may be closed.

You are responsible for your password and for the devices you use. Keep your credentials secret, use the security features we offer, and tell us immediately if you believe someone else has access to your account. We may suspend an account while we investigate a security or compliance concern.

5. Identity verification

Before you can trade or move assets, we must identify and verify you under the AML and CFT Policy. This is a legal requirement, not a choice, and it also applies to the source of the funds you deposit.

We may ask for additional documents or explanations at any time, including for a transaction that we cannot explain from your usual activity. If we cannot complete verification, or if verification fails, we will not open or maintain the relationship and may have to return funds to their source.

6. The services

The platform provides access to spot trading, futures trading, wallet and account services, and the other products shown on the site. Every product is subject to its own rules, limits and risk warnings, which are shown where the product is offered.

Orders are executed on the WEEX venue. We do not operate a matching engine of our own. This means execution, and the price and depth available to you, depend on the venue's order book, and that the platform shows you the venue's market data as we receive it.

7. Orders and execution

You are responsible for every order placed through your account, including orders placed through the API and orders placed by a third party to whom you have given access.

An order is executed at the best price available on the venue at the moment it reaches the order book. We do not guarantee that an order will be filled, in whole or in part, or at the price you saw before you sent it. Markets move, liquidity changes, and an order may be rejected, partially filled or filled at a different average price.

We may reject, cancel or reverse an order where the price is clearly wrong because of a system error, where the order breaches our limits, or where we must do so to comply with the law.

8. Fees

Trading, deposit, withdrawal, conversion and account fees are set out on the Fees page. We charge a trading fee on the value of the executed order and, for futures, a funding payment applies between open positions.

Fees are deducted from your balance at the time of the transaction or, where that is not possible, on the next occasion your balance allows it. You must keep enough balance to cover the fees you owe.

9. Risk disclosure

Virtual assets are volatile and trading them carries a high risk of loss. The value of your balance can fall as well as rise, and you may lose everything you hold on the platform. Virtual assets are not covered by deposit protection or investor compensation schemes.

Futures and other leveraged products move faster and further than the margin you post. A small adverse move in the market can trigger a liquidation that closes your position and leaves you with nothing, and in rare cases the loss on a position can exceed your margin.

Nothing on the platform is investment advice, a recommendation or a promise of profit. BitHz does not manage money and does not guarantee any return. Make your own decision, and do not trade with money you cannot afford to lose.

10. Prohibited conduct

You must not use the platform to break the law or to harm the market or other users. In particular you must not:

  • wash trade, spoof, layer or otherwise manipulate the price of a virtual asset or the volume shown on the platform
  • trade on inside information, or disclose information that is not public to someone who trades on it
  • launder money, finance terrorism or evade sanctions, or help someone else to do so
  • deposit or withdraw assets from a mixer, a tumbler or a source that hides who is behind the funds
  • open accounts with false identity documents or on someone else's behalf, or hold more than one account to get around limits
  • use the platform from a country we do not serve, or hide where you are placing the order from
  • take data from the platform by scraping or by any other automated means without our written permission
  • interfere with the platform, probe it for weaknesses, or place orders that are designed to distort the order book rather than to trade

11. Your assets

Assets in your BitHz account are held with the venue and the custodian that support the platform, segregated from BitHz's own assets on a one-to-one basis. We do not lend your assets out, use them to fund our own positions, or offer them as collateral.

BitHz is not a bank. Your balance is not a deposit, it does not earn interest unless a product says so in writing, and it is not covered by any deposit insurance scheme. Where we hold assets in hot wallets to settle day-to-day withdrawals, the balance is held through the venue's custody arrangements.

12. Suspension and closure

You may close your account at any time once open positions are settled and pending transactions have completed. We may suspend or close your account, or refuse a transaction, where we believe the platform is being misused, where the law or a regulator requires it, or where we must protect the platform or another user.

Where we close your account, we return the assets that belong to you once we have satisfied our legal obligations, including any open investigation or the retention of AML records. We may keep records we are required to keep even after the account is closed.

13. Intellectual property

The BitHz name, the logo, the site and its content belong to BitHz or its licensors. You may use the platform as it is offered to you, for your own trading and for no other purpose.

You may not copy, sell, sublicense or redistribute the platform or its content, or use our marks without our written permission.

14. Liability

We provide the platform with reasonable care and skill. We do not promise that it will be available without interruption, free of errors, or that it will always execute an order as you expect.

To the extent the law allows, BitHz is not liable for lost profits, lost opportunity, or indirect or consequential loss, and our total liability to you is limited to the fees you paid us in the three months before the event giving rise to the claim.

Nothing in these terms limits liability that cannot be limited by law, including liability for fraud, and nothing here takes away rights you have as a consumer where the law gives you those rights.

15. Complaints

If something goes wrong, send your complaint to [complaints email] with your account details and a description of what happened. We acknowledge a complaint within 2 business days and aim to answer it within 15 business days.

If our answer does not resolve the matter, you may escalate it to the regulator that licenses the entity operating BitHz, or to the court of the jurisdiction named in these terms.

16. Changes to these terms

We may change these terms where the law, the venue's rules or our services change. We publish the new version on this page, update the date at the top, and tell you in the platform or by email before the change takes effect where the change is significant.

Continuing to use the platform after the change takes effect means you accept the new terms. If you do not accept them, close your account before they take effect.

17. Governing law and disputes

These terms are governed by the laws of [governing law]. Disputes are brought before the courts of [forum], unless mandatory consumer law in your country of residence gives you the right to bring the dispute in your own courts.
